Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Neural Marketer LLC, doing business as StartupShortcut (“Company,” “we,” “us,” or “our”), a limited liability company registered in the State of Ohio, concerning your access to and use of the StartupShortcut platform, website, dashboard, and all related services (collectively, the “Service”).

2. Description of Service

StartupShortcut is a business validation and launch platform that provides entrepreneurs with data-driven insights and strategic tools to evaluate, plan, and launch their business ideas.

2.1 Free Tier

All users receive a free Business Viability Score or Health Score and personalized roadmap upon completing the assessment. Free accounts include limited access to dashboard tools.

2.2 Pro Subscription

Pro subscribers get unlimited access to all platform features including:

• Market Research & Competitive Analysis
• Pain Point Discovery & Opportunity Generator
• Persona Builder & Offer Generator
• Content Studio (blog posts, graphics, social content)
• GTM Studio (go-to-market strategy planning)
• Website Builder (AI-generated landing pages)
• Brand Identity & Logo Generation (AI-generated logos and brand assets)
• Domain & Naming tools
• CRM, Lead Generation & Outreach tools
• Shortcuts (daily AI-generated startup ideas)
• All future features added during subscription

3. Eligibility and Account Requirements

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you meet this requirement. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Promptly notify us of any unauthorized access

We support multiple authentication methods including email/password, Google sign-in, and passwordless magic links. You are responsible for safeguarding access to your authentication credentials regardless of the method used.

4. Payment Terms

• Pro Monthly: $69/month, full access, unlimited use, priority support. Cancel anytime.
• Pro Annual: $699/year, everything in Pro Monthly plus 2 months free (save $129). Cancel anytime.

All payments are processed securely through Stripe. Prices are in USD. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through your Billing page; access continues until the end of the current billing period.

We may offer promotional discounts, coupon codes, or limited-time pricing at our discretion. Promotional pricing applies only for the specified promotional period and does not guarantee future pricing.

5. Refund Policy

All sales are final. No partial refunds are provided for unused portions of a billing period. If you believe you were charged in error or experience a technical issue preventing access, contact us within 7 days through our contact page and we will review your case.

6. Email Communications

6.1 Transactional Emails

By using the Service, you agree to receive transactional emails necessary for service delivery, including account confirmations, password resets, magic link authentication, purchase receipts, and roadmap deliveries. These emails cannot be opted out of while your account is active.

6.2 Onboarding Email Sequence

Upon creating an account (including accounts created automatically during the assessment process), you will be enrolled in an automated onboarding email sequence designed to help you get the most value from the platform. This sequence consists of a limited number of emails sent over a defined period. You may unsubscribe from this sequence at any time via the unsubscribe link in each email.

6.3 Marketing and Newsletter Emails

If you opt in (e.g., by subscribing to our newsletter or enabling daily idea emails), you may receive marketing emails including business tips, platform updates, and daily startup ideas from Shortcuts. You may unsubscribe at any time via the unsubscribe link in each email or through your Profile settings.

6.4 Email Tracking

Our emails may include standard tracking technologies (such as open tracking and click tracking) to help us measure engagement and improve our communications. You can learn more about how we handle this data in our Privacy Policy.

7. Account Management and Termination

You may delete your account at any time through your Profile settings.

• All personal data is permanently deleted within 90 days
• Active subscriptions are immediately cancelled (no refund for the remaining period)
• Generated content and reports will no longer be accessible
• Account deletion is irreversible

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abuse, or create risk to our platform or other users.

8. User Obligations and Acceptable Use

You agree to use the Service only for lawful purposes. You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose
• Submit false, misleading, or deceptive information
• Reverse engineer, copy, or distribute the Service or its algorithms
• Use automated systems, bots, or scrapers without written permission
• Attempt to gain unauthorized access to other accounts or systems
• Use the Service to send spam, bulk messages, or unsolicited communications
• Interfere with or disrupt the integrity or performance of the Service

9. Intellectual Property Rights

The Service, including its design, algorithms, scoring models, AI prompts, frameworks, and codebase, is owned by Neural Marketer LLC and protected by intellectual property laws.

Your Content: You retain ownership of content you submit (business ideas, descriptions, etc.). By submitting content, you grant us a limited license to process and store it for service delivery.

Generated Content: Reports, research, personas, content, AI-generated logos, brand assets, and other outputs generated for you are provided for your personal and business use. The underlying algorithms, models, and frameworks remain our intellectual property. You receive a non-exclusive, non-transferable license to use generated content for your business purposes.

10. AI-Generated Content and Disclaimers

We use third-party AI providers (including large language model providers and image generation services) to power certain features. Your input data is processed by these providers solely to generate outputs for you. We do not use your data to train third-party AI models. See our Privacy Policy for details on how data is shared with these providers.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

12. Third-Party Services

The Service relies on third-party infrastructure and service providers including (but not limited to) cloud hosting, database, authentication, payment processing, email delivery, and AI model providers. We are not responsible for outages, interruptions, or changes to third-party services that may temporarily affect the availability or functionality of our Service.

Links to third-party websites or services within the platform are provided for convenience and do not imply endorsement. We are not responsible for the content, policies, or practices of any third-party sites.

13. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, labor disputes, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers.

14. Indemnification

You agree to indemnify, defend, and hold harmless Neural Marketer LLC (d/b/a StartupShortcut) and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

15. Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in English.

Each party may bring claims only in their individual capacity, not as a plaintiff or class member in any class, consolidated, or representative proceeding. You waive any right to participate in a class action.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised “Last updated” date. For significant changes, we may also notify you via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

17. Miscellaneous

• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Neural Marketer LLC (d/b/a StartupShortcut).
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our prior written consent. We may assign our rights freely.
